Welcome to SaidWhen ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the SaidWhen website, applications, and services (collectively, the "Service") available at https://saidwhen.com.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Accounts

To access certain features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password confidential and secure.
  • Accept responsibility for all activity that occurs under your account.

You are responsible for safeguarding your account credentials. Notify us immediately at hello@saidwhen.com if you suspect any unauthorized use of your account.

3. Plans, Free Tier, and Paid Subscriptions

SaidWhen offers a free tier as well as paid subscription plans.

  • Free tier: Provided at no cost and may have limited features, usage caps, or other restrictions. We may modify or discontinue the free tier at any time.
  • Paid plans: Provide access to additional features as described on our Pricing page. Paid plans are billed on a recurring basis (monthly or annually, as selected).

We reserve the right to change the features included in any plan, and to introduce, modify, or discontinue plans, with reasonable notice where required.

4. Billing and Payment

4.1 Payment Processor / Merchant of Record

Our order process and payments are conducted by our online reseller and Merchant of Record, Paddle.com ("Paddle"). Paddle is the merchant of record for all orders placed through the Service. Paddle provides customer service inquiries and handles returns and billing questions in connection with your purchase. Your purchase is also subject to Paddle's Buyer Terms and Conditions.

4.2 Recurring Billing

By subscribing to a paid plan, you authorize Paddle to charge your chosen payment method on a recurring basis (monthly or annually) until you cancel. Subscriptions automatically renew at the end of each billing cycle at the then-current rate unless cancelled before the renewal date.

4.3 Taxes

Prices may be exclusive of applicable taxes (such as VAT or sales tax), which will be calculated and collected by Paddle based on your location and applied at checkout as required by law.

4.4 Price Changes

We may change our prices from time to time. Any price change will apply to billing cycles after the change takes effect, and we will provide reasonable advance notice.

5. Cancellation and Refunds

You may cancel your paid subscription at any time through your account settings or by contacting hello@saidwhen.com.

All payments are non-refundable. When you cancel, your subscription will remain active until the end of your current billing period, after which it will not renew and you will not be charged again. We do not provide refunds or credits for partial billing periods, unused time, or features not used.

This policy is described in more detail in our Refund Policy. Nothing in this section limits any rights you may have under mandatory applicable consumer protection laws.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Interfere with, disrupt, or overload the Service or its infrastructure.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Use the Service to transmit malware, spam, or harmful content.
  • Resell, sublicense, or commercially exploit the Service without our written permission.
  • Use automated means (bots, scrapers) to access the Service in a manner that violates these Terms.

We reserve the right to suspend or terminate accounts that violate this section.

7. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by SaidWhen or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal purposes.

8. User Content

If the Service allows you to submit, upload, or store content ("User Content"), you retain ownership of your User Content. You grant us a worldwide, non-exclusive license to host, store, process, and display your User Content solely as necessary to provide and improve the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to submit it and that it does not violate any law or third-party rights.

9. Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SaidWhen AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless SaidWhen and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

You may terminate your account at any time by cancelling your subscription and discontinuing use of the Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Egypt, without regard to its conflict of law provisions.
